📋 Bylaws vs. Policies

  • Bylaws are the foundational legal document — they require a member vote to amend and define the chapter's core structure
  • Policies are operational guidelines — they can be updated by the Board of Directors to reflect best practices
  • When a conflict exists between the two, the Bylaws take precedence
  • Both documents are aligned with ATD National chapter requirements
  • Members in good standing have the right to review both documents at any time

🏛️ Board Accountability

  • The Board of Directors is elected annually by the membership
  • Officers serve defined terms with clear succession plans
  • Financial records are reviewed annually and available to members
  • All major decisions follow the procedures outlined in the bylaws
  • Members may raise governance concerns directly with the Board President at president@atdsfl.org

How Bylaws Are Amended

Proposal

A member or board officer submits a written amendment proposal to the Board

Board Review

The Board reviews the proposal and notifies members in advance of a vote

Member Vote

Voting members approve or reject the amendment at a membership meeting

Implementation

Approved amendments are recorded, dated, and the document is updated
